Terms of Service

1. Agreement to Terms

These Terms are between you and AthleteSignal Technologies LLC, a Tennessee limited liability company ("AthleteSignal," "we," "us," "our"). By accessing or using AthleteSignal (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

If you are a parent or guardian creating an account for a minor athlete, you are the account holder of record, responsible for all activity under the account, and agree to these Terms on behalf of yourself and your household. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

AthleteSignal is a recruiting platform providing tools for athletes and families to organize recruiting information, manage outreach to college coaches, access educational resources, and receive AI-assisted guidance. The Service is live; features, pricing, and availability may change.

3. Eligibility and Accounts

AthleteSignal is intended for student athletes aged 13 and older. We do not knowingly permit use by anyone under 13 and will promptly delete any account we identify as belonging to a user under 13.

All athletes under 18 must access the Service through a parent or legal guardian account. The parent or guardian creates the account, certifies at registration that the athlete is 13 or older, and is the contracting party solely responsible for all activity under the account.

You are responsible for maintaining the confidentiality of your credentials. Notify us immediately at privacy@athletesignal.com if you suspect unauthorized use. You may not create accounts on behalf of others without authorization or create multiple accounts to circumvent restrictions.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You agree not to:

Harass, threaten, or harm any individual
Send spam, unsolicited bulk messages, or automated outreach through the Service
Misrepresent yourself, your athlete, or your affiliation with any school or organization
Use the Service in any way that violates NCAA, NAIA, NJCAA, or other governing body rules
Attempt to gain unauthorized access to the Service or its underlying systems
Systematically extract, scrape, or reproduce platform content or data without written permission
Upload or distribute malicious code or harmful content
Disrupt or interfere with the Service or other users' experience

We may suspend or terminate accounts that violate these Terms without prior notice.

5. NCAA and Recruiting Compliance

High school athletic recruiting is governed by NCAA, NAIA, NJCAA, and other association rules that vary by division, sport, and time of year. AthleteSignal does not provide legal or compliance advice, and nothing in the Service constitutes guidance on eligibility or recruiting rule interpretation. Consult your high school athletic director, guidance counselor, or a qualified compliance professional for specific questions.

6. Coach Console Terms

This section applies to anyone who holds an AthleteSignal coach console. By signing in to a console, you agree to it in addition to the rest of these Terms.

What a console is

A console gives you access to profiles that families, or a student's high school athletic department, have chosen to share with your program. It is not a database, a directory, or a search tool, and access to one profile grants you nothing about any other athlete.

Access is the family's to give and to take back

A family may revoke access at any time, without notice and without reason. When they do, the profile leaves your console immediately. You may not retain, re-create, or continue to use information from a profile after access is revoked. This obligation survives the revocation and the end of your console.

What you may not do with what you receive

Share, republish, sell, or otherwise transfer a profile or any part of it to anyone outside your own program's staff
Use it for any purpose other than evaluating the student for your program
Use it, or any part of it, to train a machine-learning model
Attempt to contact a student-athlete directly using information obtained here

Contact runs through adults

We give you contact information for the family and for the student's high school athletic department. We do not give you contact information for the student. Where the student is a minor, contact about recruiting goes through those adults.

Your school's rules are still your rules

Nothing here relieves you of any recruiting rule that binds you — NCAA, NAIA, NJCAA, your conference, or your institution. Contact windows, dead periods, and permission-to-contact requirements are yours to know and follow. AthleteSignal does not monitor or enforce them, and being able to see a profile here is not a statement that contacting the student is permitted.

Your account is yours

Sign-in links are single-use and personal. Do not forward one, and do not let anyone else use your console. If you need a colleague to have access, invite them from the Program tab so the family can see who holds access.

What you tell us must be true

Your name, role, and school are self-reported. Misrepresenting who you are, or holding a console for a program you do not coach, ends your access.

Views are recorded, and families see them

Your program's opening of a profile, and its viewing of film, are recorded and shown to the family with the date. This cannot be switched off. It is a condition of holding a console, not a setting.

We can end a console

We may suspend or end a coach console at any time, including on a family's report, for a breach of these Terms, or where we cannot verify who you are.

7. AI Features and Limitations

AthleteSignal uses AI to provide guidance, suggestions, and content within the platform. These features are designed to assist, not replace, your judgment. AI-generated content may contain errors or outdated information; review all AI output before acting on it or sharing it with coaches.

We do not use AI to predict scholarship offers, rank athletes, or guarantee any recruiting outcome.

8. Subscription and Billing

Paid subscriptions are not yet available. When they launch, the following terms will apply:

Fees billed in advance on a monthly or annual basis
Cancel at any time through your account settings; cancellation takes effect at end of the billing period
No refunds for partial billing periods except where required by law
Pricing changes with 30 days' advance notice

We will notify all users by email before paid subscriptions launch and require affirmative acceptance of billing terms before any charge is made.

9. Intellectual Property

The Service, including its design, code, content, and trademarks, is owned by AthleteSignal and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

You retain ownership of content you create and enter into the Service. By using the Service, you grant us a limited, non-exclusive, royalty-free license to store and process that content solely to provide the Service to you. This license ends when you delete the content or close your account.

The Service may link to third-party websites. We are not responsible for third-party content, and links do not constitute endorsement.

10. Data, Privacy, and Security

Your use of the Service is governed by our Privacy Policy, incorporated into these Terms by reference. In the event of a security incident affecting your personal information, we will notify you as required by applicable law and within a commercially reasonable time after we become aware of the incident. Upon account termination, we will delete your personal data within 90 days except where retention is legally required.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any information provided is accurate or current.

To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law, AthleteSignal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.

Our total liability for any claim shall not exceed the amount you paid us in the twelve months preceding the claim, or $100 USD if you have not paid us anything.

13. Indemnification

You agree to indemnify, defend, and hold harmless AthleteSignal and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) content you submit through the Service. We may assume control of the defense of any such matter, and you agree to cooperate.

14. Dispute Resolution

Informal resolution

Before filing any formal claim, contact us at privacy@athletesignal.com and allow 30 days to resolve the dispute informally. This requirement does not apply to claims for injunctive or equitable relief.

Arbitration

If informal resolution fails, disputes shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver

YOU AND ATHLETESIGNAL AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. IF THIS WAIVER IS FOUND UNENFORCEABLE, THE ARBITRATION AGREEMENT SHALL BE VOID WITH RESPECT TO THAT CLAIM.

Exceptions

Either party may seek injunctive or equitable relief in court to protect intellectual property or confidential information. Small claims court actions remain available where eligible.

15. Governing Law

These Terms are governed by the laws of the state in which AthleteSignal is incorporated, without regard to conflict of laws provisions. Where court proceedings are permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts in that state.

16. Force Majeure

AthleteSignal is not liable for failure or delay in performance caused by events beyond our reasonable control, including natural disasters, pandemic, war, governmental action, or third-party service failures. We will make reasonable efforts to resume normal service promptly.

17. Termination

You may terminate your account at any time through your account settings or by contacting us. We may suspend or terminate your account for violation of these Terms or at our discretion. Upon termination, your right to use the Service ceases immediately and we will delete your personal data within 90 days as described in our Privacy Policy. Provisions that by their nature survive termination — including IP, indemnification, disclaimers, liability limits, and dispute resolution — will remain in effect.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you by email and post the updated Terms with a new effective date for material changes. Continued use after notice constitutes acceptance. If you do not agree, stop using the Service and close your account.
